1. Acceptance of Terms
By accessing or using the CatRouting platform, website, API, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you (or the entity you represent) and NovaCore Solutions Ltd, a company registered in the Republic of Seychelles under IBC No. 250168, trading as CatRouting.
2. B2B Services
CatRouting provides business-to-business (B2B) messaging services exclusively. Our Services are intended for use by registered businesses, corporations, and professional entities. By using our Services, you represent and warrant that:
- You are acting on behalf of a business entity, not as an individual consumer;
- You have the legal authority to bind such entity to these Terms;
- Your use of the Services is for lawful business purposes only;
- You maintain all necessary licences, permits, and registrations required in your jurisdiction to send commercial or transactional messages.
Consumer protection laws applicable to B2C transactions do not apply to the Services provided under these Terms.
3. Description of Services
CatRouting provides a cloud-based messaging platform that enables users to send SMS messages, OTP verifications, two-way SMS, and voice notifications globally through a single API. We do not guarantee delivery of every message, as delivery depends on carrier networks, recipient device availability, and third-party infrastructure beyond our control.
4. Account Registration
To use our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for:
- Safeguarding your API keys, passwords, and account credentials;
- All activities that occur under your account;
- Notifying us immediately of any unauthorised access to your account;
- Ensuring that your account details reflect your current business information.
5. Acceptable Use
You agree to use the Services in a responsible, ethical, and lawful manner. You must comply with all applicable local, national, and international laws and regulations, including but not limited to telecommunications regulations, data protection laws, and consumer protection statutes in each jurisdiction where your messages are delivered.
6. Prohibited Activities
You agree not to use the Services for any of the following purposes:
- Sending unsolicited commercial messages (spam), including bulk messaging to recipients who have not provided prior consent;
- Transmitting fraudulent, deceptive, or misleading content, including phishing, smishing, or social engineering attacks;
- Sending messages that contain illegal content, hate speech, threats, harassment, or defamatory material;
- Transmitting material that infringes intellectual property rights of any third party;
- Circumventing carrier regulations, local telecommunications laws, or sender ID restrictions;
- Using the platform for illegal activities including fraud, money laundering, or financing of terrorism;
- Engaging in activities designed to overburden, disable, or impair our infrastructure or the infrastructure of carrier networks;
- Reselling or redistributing the Services without prior written authorisation;
- Interfering with the operation of the Services or gaining unauthorised access to systems or data;
- Sending messages on behalf of or promoting illegal gambling, unlicensed pharmaceuticals, or prohibited substances.
7. Anti-Spam Policy
CatRouting maintains a strict anti-spam policy. You must comply with all applicable anti-spam laws, including but not limited to the CAN-SPAM Act (USA), the Privacy and Electronic Communications Regulations (UK/EU), and equivalent legislation in other jurisdictions. Specifically, you must:
- Obtain proper consent from recipients before sending any messages through our platform;
- Provide a clear and functional opt-out mechanism in all marketing messages;
- Honour opt-out requests within the timeframes required by applicable law (no more than 10 business days);
- Accurately identify yourself or your business as the sender;
- Maintain records of consent for all message recipients;
- Refrain from using harvested, purchased, or rented contact lists without verified consent.
Violation of our anti-spam policy may result in immediate account suspension or termination and may be reported to relevant regulatory authorities.
8. Compliance Obligations
You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including but not limited to:
- Data protection — GDPR (EU), UK Data Protection Act, and other applicable privacy laws. You must have a lawful basis for processing any personal data transmitted through our platform;
- Telecommunications regulations — all applicable carrier rules, sender ID registration requirements, and local telecom laws in the countries where messages are delivered;
- Financial regulations — anti-money laundering (AML), know your customer (KYC), and sanctions compliance where applicable;
- Industry-specific regulations — including HIPAA, PCI-DSS, and other sector-specific requirements that may govern the content of your messages;
- Content regulations — ensuring all message content is truthful, not misleading, and complies with advertising standards in the recipient's jurisdiction.
CatRouting reserves the right to request evidence of your compliance at any time. Failure to demonstrate compliance may result in suspension or termination of your account.
9. Pricing and Payments
All prices are listed in USD unless otherwise stated. You agree to pay all fees associated with your use of the Services. Fees are non-refundable except as required by law or as explicitly stated in a separate agreement. We reserve the right to change pricing with 30 days' prior notice.
10. Data Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Services, you acknowledge that you have read and understood the Privacy Policy.
11. Intellectual Property
All content, software, APIs, documentation, and technology provided by CatRouting are the property of NovaCore Solutions Ltd or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent. You are granted a limited, non-exclusive, non-transferable licence to use the Services during the term of your account.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- CatRouting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of revenue, loss of data, business interruption, or loss of profits;
- Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to CatRouting in the twelve (12) months immediately preceding the event giving rise to the claim;
- CatRouting is not liable for delivery failures caused by carrier networks, recipient device issues, or other factors outside our reasonable control;
- CatRouting is not liable for any losses arising from your failure to comply with applicable laws, regulations, or these Terms.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
13. Account Suspension and Termination
We reserve the right to suspend or terminate your account, in whole or in part, at any time and without prior notice if:
- You violate these Terms or any applicable law or regulation;
- We receive complaints from carriers, recipients, or regulatory bodies regarding your messaging activity;
- Your messaging activity exceeds acceptable spam thresholds or generates an unusually high complaint rate;
- We reasonably suspect fraudulent, abusive, or illegal activity on your account;
- You fail to pay outstanding fees within the specified payment terms;
- Continued provision of Services to you would pose a risk to our platform, other users, or carrier relationships;
- Required to do so by a regulatory or governmental authority.
Upon suspension, your access to the Services and API will be restricted. Upon termination, any remaining account credit may be forfeited. You may terminate your account at any time by contacting us at [email protected].
14. Indemnification
You agree to indemnify, defend, and hold harmless NovaCore Solutions Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your violation of any applicable law or third-party rights.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of significant changes via email or through the platform at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree with any changes, you must discontinue your use of the Services.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Seychelles. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the Republic of Seychelles.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
